Vendor Terms & Conditions – Furniqlo Marketplace

1. About Furniqlo
“Furniqlo” is a brand owned and operated by AiCap Solution Sdn Bhd (“Company”, “we”, “us”). By registering as a vendor (“Vendor”, “you”) and listing products on the Furniqlo marketplace (“Platform”), you agree to these Terms & Conditions (“Agreement”).
2. Vendor Eligibility & Registration
- You are at least 18 years old and legally able to contract.
- You are a registered business or an individual permitted to sell under applicable laws.
- You will provide accurate business information (name, company/SSM number if applicable, contact, bank details) and keep it updated.
- We may approve or reject applications at our discretion.
3. Account Responsibilities
- You are responsible for all activities under your account and for safeguarding login credentials.
- You will notify us immediately of any unauthorized access.
- Accounts are non-transferable without our written consent.
4. Permitted & Prohibited Products
- Only furniture, home décor, related accessories, and categories we allow may be listed.
- Prohibited: counterfeit/IP-infringing goods, unsafe/hazardous items without certification, and items illegal under applicable law.
- Listings must be truthful and complete (title, description, images you own or are licensed to use, specs, dimensions, materials, price, taxes).
- We may edit, hide, or remove listings that violate policies or law.
5. Pricing, Fees & Commission
- You set your prices and must honor the price at order time.
- Platform fees (e.g., commission, transaction, subscription) apply and are deducted from payouts.
- We reserve the right to revise or increase platform fees at any time. We will provide prior notice via dashboard/email and the revised fees will apply to orders placed after the effective date.
- Vendors are responsible for all applicable taxes and must price accordingly.
6. Payout Schedule
- Payouts are made within five (5) working days after the customer confirms receipt of goods with no issues reported (or after the auto-confirmation period ends, if applicable).
- We may delay/withhold payout if an order is under dispute, chargeback review, fraud investigation, or policy breach.
- Bank/transfer charges may be deducted where applicable.
7. Orders, Shipping & Fulfilment
- Ship within your stated handling time and provide tracking where available.
- Use adequate packaging to prevent damage; you are responsible for courier handover quality.
- Repeated late dispatch, cancellations, or poor fulfilment may result in penalties, down-ranking, suspension, or termination.
8. Returns, Refunds & Cancellations
- Comply with Furniqlo’s returns/refund policy and any statutory consumer rights.
- Where the item is defective, damaged, or incorrect, you bear return/replacement costs unless otherwise required by law/policy.
- Refunds must be processed promptly upon validated return.
9. Vendor Conduct & Communication
- Maintain professional, respectful communications with buyers and Furniqlo support.
- No off-platform solicitation or directing buyers to transact outside the Platform.
- No misleading advertising, false claims, or review manipulation.
10. Intellectual Property
- You warrant you own or are licensed to use any trademarks, images, and content you upload.
- We may remove content alleged to infringe IP and may suspend accounts pending investigation.
11. Data Protection
- Handle buyer data in accordance with applicable data protection laws (including Malaysia’s PDPA, where applicable).
- Use buyer data only to fulfil orders and provide customer service; do not sell or misuse personal data.
12. Disputes & Platform Role
- All disputes, claims, or complaints arising from transactions are strictly between the Vendor and the customer.
- Furniqlo acts only as a marketplace platform and is not a party to the sales contract between Vendor and customer.
- We may, at our discretion, facilitate communication, but we are not responsible for refunds, replacements, or compensation except where required by law or expressly stated in our policies.
13. Suspension & Termination
- We may suspend or terminate accounts for policy breaches, excessive complaints, fraud, illegal activity, or risk to buyers/Platform.
- Upon termination, you remain responsible to fulfil existing accepted orders unless otherwise agreed.
14. Liability & Indemnity
- To the maximum extent permitted by law, we are not liable for product defects, delivery delays, lost parcels, lost profits, or indirect/consequential damages.
- You agree to indemnify and hold us harmless from claims arising from your listings, products, breach of this Agreement, or violation of law/third-party rights.
15. Changes to Terms
- We may update these Terms from time to time. Material changes will be notified via dashboard/email with an effective date. Continued use after the effective date constitutes acceptance.
16. Governing Law
These Terms are governed by the laws of Malaysia. Venue and jurisdiction shall be in the courts of Malaysia.
