1. Introduction

Welcome to Furniqlo.my (“Platform”). Furniqlo is a brand owned and operated by AiCap Solution Sdn Bhd. This document, including these Terms & Conditions, the Privacy Policy, and the Refund Policy (collectively, the “Agreement“), governs your use of the Platform as a Buyer or Vendor.

By accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by this entire Agreement. If you do not agree, please discontinue using the Platform immediately.


2. Definitions

BuyerA customer who registers an account and purchases Products through the Platform.
ProductsAny goods, items, or services listed and offered for sale by Vendors on the Platform.
We/Us/OurAiCap Solution Sdn Bhd (202401048231 / 1594076-D), the owner and operator of the Furniqlo brand.

3. Scope of Services and Disclaimer

Furniqlo provides a digital marketplace that facilitates transactions between Buyers and Vendors.

  • Marketplace Status: We are not the manufacturer, direct seller, agent, or representative of any Products listed on the Platform. We do not inspect, pre-screen, or warrant the accuracy of Vendor listings.
  • Vendor Responsibility: All product information, stock availability, pricing, warranties, quality, and fulfillment are the sole and exclusive responsibility of the respective Vendor. Buyers transact with Vendors at their own risk.
  • Platform Function: Our role is strictly limited to providing the Platform for listing, transaction processing, and escrow services.

4. Account Registration and Security

Users must register with accurate, current, and complete details (e.g., name, identification, contact, and payment information).

  • Vendor Requirements: Vendors must provide valid and verifiable business or personal information (including an SSM number or equivalent business registration where applicable) and maintain all necessary licenses and permits required to sell their Products in Malaysia.
  • Account Integrity: Users are solely responsible for maintaining the confidentiality and security of their login credentials. Any activity occurring under your account is deemed your responsibility. You must notify Us immediately of any unauthorized use.
  • Minimum Age: By registering an account, you confirm you are at least 18 years of age or have attained the age of majority in Malaysia.

5. Vendor Obligations

Vendors must adhere to the following:

  • Listing Accuracy: Ensure all listings are accurate, truthful, legal, and not misleading. Products must comply with all applicable Malaysian laws and regulations.
  • Product Fulfillment: Vendors must deliver Products to the Buyer in the condition described and within the delivery timeframe stipulated in the listing.
  • Warranties & Support: Vendors are solely responsible for all statutory and express warranties, guarantees, and all after-sales support, including installation and maintenance, unless otherwise stated.
  • Taxes: Vendors are solely responsible for calculating, collecting, remitting, and reporting all applicable taxes (including SST) on their sales.

6. Buyer Obligations

Buyers must adhere to the following:

  • Information: Provide accurate delivery addresses and payment information. Failure to do so may result in order cancellation or delayed delivery, for which We are not liable.
  • Confirmation of Receipt (Crucial): Buyers must confirm receipt of goods via the Platform promptly upon successful delivery.
  • Transaction Finality: Once the Buyer has confirmed receipt, or the confirmation period (defined in Section 7) has elapsed without a dispute, the transaction is considered final, and the payment will be released to the Vendor.

7. Orders, Payments, and Escrow Management

  • Payment Processing: All payments must be processed exclusively through Furniqlo’s authorized payment gateways.
  • Escrow: Furniqlo operates an escrow system. We hold the payment securely (the “Escrow Funds”) until one of the following events occurs:
    1. The Buyer explicitly confirms delivery and satisfaction on the Platform.
    2. A Confirmation Period of seven (7) calendar days elapses after the verified delivery date without the Buyer submitting a formal dispute or complaint regarding the order.
  • Payouts to Vendors: Escrow Funds are released to the Vendor within five (5) working days after the occurrence of event 1 or 2 above, less Furniqlo’s admin fee.
  • Revisions: Furniqlo reserves the right to revise payment processing rules, fees, or the length of the Confirmation Period with prior notice.

8. Delivery, Logistics, and Risk

  • Arrangement: Vendors may choose to arrange delivery, use logistics partners, or allow self-delivery/self-pickup.
  • Information: Delivery times, costs, and methods are stated on product listings and are estimates only.
  • Limitation of Liability (Logistics): Furniqlo is not liable for delays, losses, damages, or failed deliveries caused by Vendors, logistics providers, or incorrect Buyer information. The risk of loss or damage to Products passes directly from the Vendor to the Buyer upon delivery.
  • Self-Collection: For self-collection, the Buyer must collect the Product within the timeframe agreed upon with the Vendor. Failure to do so may result in order cancellation or storage fees charged by the Vendor.

9. Returns, Refunds, and Dispute Resolution

This Section must be read in conjunction with our separate Refund Policy.

  • Refund Conditions: Refunds or returns are only accepted if the goods are defective, damaged, incorrect, or materially inconsistent with the listing upon delivery, and a complaint is submitted before the end of the Confirmation Period (Section 7).
  • Finality: Once the Buyer has confirmed receipt, or the Confirmation Period has elapsed without a complaint, the sale is final and no refund, return, or exchange will be available through the Platform.
  • Dispute Liability: All post-sale disputes (including quality issues, warranty claims, replacements, and maintenance) are strictly between the Vendor and the Buyer.
  • Facilitation (Added Protection): Furniqlo may offer to facilitate communication or mediate disputes in good faith, but We are under no obligation to do so and remain not liable for the resolution outcome or any damages arising from the dispute.

10. Prohibited Activities

Users are strictly prohibited from:

  • Illegal Content: Listing counterfeit, stolen, illegal, or restricted goods, or infringing on any third-party rights.
  • Data Misuse: Misusing, selling, or sharing any customer or Vendor data obtained from the Platform.
  • Circumvention: Soliciting or engaging in off-platform transactions for Products listed on Furniqlo. Any attempt to circumvent Furniqlo’s payment system will result in immediate account suspension and potential termination.
  • Technical Abuse: Uploading harmful, malicious, or technologically damaging content (e.g., viruses, malware) or attempting to interfere with the Platform’s operation.
  • Misrepresentation: Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity.

11. Intellectual Property

  • Vendor IP: Vendors must own or have valid licenses for all product images, trademarks, and descriptions uploaded to the Platform. By uploading content, the Vendor grants Furniqlo a non-exclusive, worldwide, royalty-free, perpetual license to use, display, reproduce, and distribute that content for the purpose of operating and promoting the Platform.
  • Infringement: Furniqlo may remove any content that infringes upon third-party intellectual property (IP) rights and may terminate the account of repeat infringers.

12. Fees and Revisions

  • Current Fee: Furniqlo charges Vendors a standard 5% admin fee per transaction.
  • Fee Revision: We reserve the right to increase or change any Platform fees, or introduce new fees, by providing at least thirty (30) days’ prior written notice to all affected Users via email or platform announcement. Continued use of the Platform after the notice period constitutes acceptance of the revised fees.

13. Limitation of Liability and Indemnity (Critical Legal Protection)

THIS SECTION LIMITS OUR LEGAL LIABILITY TO YOU. PLEASE READ IT CAREFULLY.

  • Limitation of Liability: Furniqlo is provided on an “as-is” and “as-available” basis. We do not guarantee continuous, uninterrupted, or secure access to the Platform. Our liability to any User (Buyer or Vendor) for any loss or damage arising out of or in connection with the Platform or this Agreement, whether in contract, tort (including negligence), or otherwise, shall be strictly limited to the amount of the commission fees paid by the Vendor to Furniqlo for the specific transaction that gave rise to the claim.
  • Exclusion of Consequential Damages: In no event shall We be liable for any indirect, incidental, punitive, special, or consequential damages (including, without limitation, loss of business, profits, revenue, or data), even if We have been advised of the possibility of such damages.
  • Indemnity: You agree to indemnify, defend, and hold harmless AiCap Solution Sdn Bhd, its directors, officers, employees, and agents from and against any and all claims, liabilities, costs, damages, and expenses (including legal fees) arising from: (a) your breach of this Agreement, (b) your violation of any law or the rights of a third party, or (c) any dispute with another User (Vendor or Buyer).

14. Suspension and Termination

Furniqlo may immediately suspend or permanently terminate any account and bar access to the Platform for any user without prior notice for, but not limited to:

  • Breach of any term in this Agreement.
  • Fraudulent, deceptive, or illegal activity.
  • Excessive or unresolved customer complaints (for Vendors).
  • Any attempt to harm the goodwill or business operations of Furniqlo.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of Malaysia. Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity, or termination, shall be referred to and finally resolved by the courts of Malaysia, and you submit to the exclusive jurisdiction of those courts.


16. Modifications to Terms

Furniqlo reserves the right to modify these Terms & Conditions at any time. We will post the revised version on the Platform and update the “Last updated” date. Your continued use of the Platform following the posting of the revised terms constitutes your acceptance of those changes.
